Terms of Service

1. Acceptance of Terms

By accessing and using Verriflo's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Verriflo provides a live-class streaming platform that enables:

  • Real-time video and audio streaming
  • Interactive chat and communication features
  • Recording and archiving capabilities
  • User management and role-based access
  • Analytics and reporting tools

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

  • Maintaining the security of your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information is up to date

4. Acceptable Use and Content Policy

You agree not to use the service to:

  • Violate any applicable laws or regulations;
  • Infringe on intellectual property rights;
  • Harass, abuse, or harm others;
  • Distribute malware or harmful code;
  • Attempt to gain unauthorized access to our systems;
  • Use the service for commercial purposes without authorization;
  • Stream content that contains nudity, sexual activity, or sexually explicit material;
  • Stream content that promotes violence, terrorism, or illegal acts;
  • Broadcast copyrighted media (movies, sports events, music, or other protected content) for which you do not hold the necessary broadcasting rights or licenses.

Copyright Liability: If you stream copyrighted content without authorization, you are solely responsible for any legal consequences. Verriflo is not liable for any copyright infringement claims arising from your use of the service. If any third party takes legal action against Verriflo as a result of your unauthorized content, you agree to indemnify and hold Verriflo harmless, and you will be liable for all resulting damages, costs, and legal fees.

Content Monitoring: Verriflo reserves the right to interrupt, terminate, or suspend any stream immediately and without prior notice if we detect content violating these standards or if we receive complaints regarding your content.

5. Billing, Credits, and Payments

5.1. Credit Definition

Verriflo operates on a credit-based consumption model. One (1) Credit is defined as one (1) minute of connection time per participant in a session, regardless of the participant's role (Host, Student, or Observer).

Calculation Example: A session with 4 participants lasting 5 minutes consumes 20 Credits (4 participants × 5 minutes = 20 Credits).

Rounding: Usage is calculated per minute. Partial minutes are rounded up to the nearest whole minute.

5.2. Pre-Paid Accounts (Standard)

Unless otherwise agreed in a separate written contract, services are provided on a pre-paid basis. You must purchase credits before using the service.

  • Non-Refundable: All credit purchases are final and non-refundable, except where required by applicable law;
  • Low Balance: It is your responsibility to maintain a sufficient credit balance. Verriflo reserves the right to terminate or prevent the initiation of sessions if your account balance is insufficient;
  • Introductory Credits: Free credits provided upon sign-up are for testing purposes only, have no cash value, and may expire if not used within thirty (30) days of account creation.

5.3. Post-Paid Accounts (Contracted Entities)

For entities with a specific written agreement allowing post-paid billing:

  • Invoicing: You will be invoiced at the end of your agreed billing cycle (Weekly/Bi-weekly/Monthly) for the total credits consumed;
  • Payment Terms: Payment is due within seven (7) days of the invoice date, unless otherwise specified in your written agreement;
  • Late Payment: Failure to pay invoices on time may result in immediate suspension of services and revocation of post-paid privileges. Late payments may also incur additional fees as specified in your agreement.

5.4. Overage and Negative Balances

If a live session consumes more credits than are currently available in your account (for pre-paid users), your account may go into a negative balance. You agree to pay for any negative balance immediately upon your next recharge or credit purchase.

Session Termination: Verriflo reserves the right to forcefully terminate active sessions if the negative balance exceeds a predetermined threshold, which may vary based on account history and usage patterns.

5.5. Fair Use and Concurrency Limits

Usage of Verriflo APIs and classroom capacity is subject to fair use limits. We may impose caps on the number of concurrent participants per room or concurrent rooms per organization to ensure platform stability and equitable resource allocation.

Anti-Abuse: Any attempt to artificially inflate usage, spawn excessive participants, or otherwise abuse the platform may result in immediate account suspension and forfeiture of all credits.

6. Organization Policy

Single Organization Rule: Any company, institution, or group of stakeholders operating under a single business agreement or conducting business under the same name shall be limited to one (1) organization account on the Verriflo platform.

Prohibition of Multiple Organizations: Creating multiple organization accounts for purposes including but not limited to free trials, testing, or circumventing platform limitations is strictly prohibited without explicit written permission from Verriflo.

Enforcement Actions: Violation of this policy may result in immediate account suspension, organization closure, forfeiture of all credits and balances, and permanent termination of access to Verriflo services. Verriflo reserves the right to take any and all necessary actions to enforce this policy, including legal proceedings where applicable.

Permission Requirements: Any request for multiple organization accounts must be submitted in writing to Verriflo and must include detailed justification for the business need. Such requests will be evaluated on a case-by-case basis and may be denied at Verriflo's sole discretion.

7. Intellectual Property

The service and its original content, features, and functionality are owned by Verriflo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User-Generated Content Ownership: All intellectual property rights in user-generated content, including but not limited to class recordings, presentations, materials, and communications, remain the sole and exclusive property of the respective users or organizations that created such content. Verriflo does not claim ownership of any user-generated content.

Limited License for Service Provision: By using our services, you grant Verriflo a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely for the purpose of providing the Verriflo platform services. This license terminates automatically when you remove your content or when your account is terminated.

No Transfer of Rights: Nothing in these Terms shall be construed as transferring any intellectual property rights from users to Verriflo. Users retain full ownership and control over their content and intellectual property.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the service, to understand our practices.

9. Data Retention and Storage

Default Retention Period: Unless otherwise specified in your service agreement, Verriflo will store your content, including class recordings and other materials, for a default period of six (6) hours from the end of each session. Organizations may request longer retention periods during account setup or through their subscription plan, which will be clearly communicated and documented in your service agreement.

Automatic Deletion: Upon expiration of the agreed retention period, all stored content, including but not limited to video recordings, audio files, presentations, and related materials, will be permanently deleted from Verriflo's servers without prior notice.

User Responsibility for Backups: It is the sole responsibility of users and organizations to download and maintain their own copies of all content, including recordings, before the expiration of the retention period. Verriflo strongly recommends regular downloads of important content.

No Liability for Data Loss: Verriflo shall not be liable for any loss, damage, or unavailability of content after the expiration of the retention period, regardless of whether users have downloaded copies of their content. This includes but is not limited to:

  • Loss of recordings due to failure to download before deletion;
  • Inability to access content after retention period expiration;
  • Data corruption or technical issues during the retention period;
  • Any claims for damages related to content loss.

Data Recovery: Once content has been deleted from our servers, it cannot be recovered. Verriflo does not maintain backup copies of deleted content and is under no obligation to attempt data recovery.

Retention During Suspension: If your account is suspended due to non-payment or violation of these Terms, Verriflo retains the right to delete your stored content after forty-eight (48) hours of continuous suspension, regardless of the original retention agreement. This accelerated deletion is necessary to manage storage resources and ensure platform sustainability.

10. Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The service may be temporarily unavailable due to:

  • Scheduled maintenance;
  • Technical issues;
  • Force majeure events;
  • Updates and improvements.

11. Limitation of Liability

In no event shall Verriflo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Third-Party Platform Disclaimer

Verriflo provides functionality to stream to third-party platforms (e.g., YouTube, Facebook Live) via RTMP integration. We are not responsible for the availability, performance, uptime, policies, terms of service, or data practices of these external platforms. If a stream fails to publish to a third-party platform due to their API limits, service downtime, account restrictions, policy violations, or any other reason beyond Verriflo's control, Verriflo shall not be liable for any resulting damages, losses, or claims. You acknowledge that your use of third-party streaming features is at your own risk and subject to the terms and policies of the respective third-party platforms.

12. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the service will cease immediately. If you wish to terminate your account, you may simply discontinue using the service.

13. Governing Law

These Terms shall be interpreted and governed by the laws of Bangladesh, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
